Terms of Use

Effective date: October 29, 2026  |  Last updated: October 29, 2026

These Terms of Use ("Terms") govern your use of www.healthcareutilization.com and its pages, forms, provider portal, and other features (the "Website"), operated by Healthcare Utilization Consultants LLC, a Florida limited liability company also doing business as "Healthcare Utilizations" ("HUC," "we," "us," "our"). Please read them carefully. Our Privacy Policy explains how we handle information collected through the Website.

Summary: this Website describes our services for general information only. Any service we provide is governed by a separate written agreement. Nothing on this Website is medical, legal, financial, or professional advice, and no result, savings, or level of security is guaranteed. Please do not send patient health information through this Website.

1. Agreement to these Terms

By accessing or using the Website, you agree to these Terms. You also agree to them when you submit a form on the Website or sign in to the provider portal, where a notice next to the button links to them. If you use the Website on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization, and "you" includes that organization. If you do not agree, do not use the Website. The Website is intended for adults (18 or older) acting in a business or professional capacity.

2. What we do

HUC provides business-to-business consulting, technology, and support services to physician practices and other healthcare organizations. Depending on the engagement, these may include operations and workflow redesign; managed IT and security services (such as implementations, database management, security and firewall management, support, and maintenance); software development, integrations, and automation, including artificial intelligence (AI) tools; data and dashboards; documentation and revenue integrity support; utilization review, prior authorization submissions, and denial and appeal support; strategy and transformation; and care management and care coordination support. We may work as a client's IT department or alongside its existing IT staff and vendors. We also build and operate our own healthcare technology products, such as AiFax and AdmitLogic, which are offered under their own terms.

3. Information only; no professional advice

Content on the Website is provided for general informational and marketing purposes. It is not medical, clinical, legal, regulatory, billing, coding, reimbursement, tax, financial, or cybersecurity advice, and it is not a substitute for advice from a qualified professional who knows your circumstances. You are responsible for your own decisions and for your organization's compliance with the laws and payer rules that apply to it.

4. Services require a written agreement

Using the Website, contacting us, or receiving a response from us does not create a client, contractual, consulting, or service relationship. We provide services only under a separate written agreement (for example, a services agreement or statement of work) and, where we will create, receive, maintain, or transmit protected health information (PHI) for a client, a Business Associate Agreement (BAA). If anything on the Website conflicts with a signed agreement, the signed agreement controls.

Descriptions of services, examples, approaches, timelines, and comparisons on the Website (including statements about cost compared with hiring staff or using multiple vendors, turnaround times, savings, audit readiness, documentation, or compliance support) describe our general offering and are not offers, quotes, or promises. Actual scope, pricing, responsibilities, service levels, and deliverables are set only in a written proposal or agreement, and actual costs and results depend on your organization's needs, systems, and circumstances.

When we perform documentation, time-tracking, billing support, or compliance support work, we do so under the client's direction and written agreement. Each client remains responsible for the claims it submits to Medicare or any other payer and for meeting the billing, documentation, and program rules that apply to it.

5. No guarantee of results

We do not guarantee any particular clinical, operational, financial, reimbursement, compliance, or performance outcome, including any specific savings, revenue, reduction in costs or staff, payer authorization or appeal decision, or audit result. Dashboards, screenshots, figures, and examples on the Website show sample or illustrative data unless clearly stated otherwise. The Website is not affiliated with, or endorsed by, Medicare, the Centers for Medicare & Medicaid Services (CMS), or any government agency.

6. Technology, security, and AI

No technology, software, or security measure eliminates all risk. We do not represent or guarantee that any system, network, database, or device, whether or not we manage it, will be free from breaches, cyberattacks, vulnerabilities, outages, errors, or data loss. Security, backup, and support responsibilities for a client are defined in that client's written agreement, and clients remain responsible for their own obligations under applicable law, including the HIPAA Privacy and Security Rules where they apply.

AI and automated tools can produce incomplete or incorrect results. AI outputs, summaries, matches, and suggestions are intended to support, not replace, the professional judgment of clinicians and staff, who remain responsible for reviewing them and for all clinical, billing, and operational decisions. Features that file information into an electronic health record (EHR) work only within what the EHR vendor allows.

7. No patient care; not for emergencies

HUC supports healthcare organizations. We are not a patient's medical provider, and the Website does not create a provider-patient relationship or provide medical care, diagnosis, or treatment. The Website, our email inboxes, and our business phone line are not monitored for emergencies. In an emergency, call 911 or your local emergency number. If you are a patient, please contact your own healthcare provider.

8. Do not send patient health information

Do not submit PHI or other sensitive personal information (such as patient names, dates of birth, medical record or Medicare numbers, Social Security numbers, diagnoses, or payment card numbers) through the Website, its forms, or an initial email, text message, or phone call to our general business contacts. If an engagement requires PHI, we will arrange a secure method under a BAA. If PHI reaches us through these channels anyway, we will limit its use and handle it as required by applicable law and any Business Associate Agreement that applies.

9. Provider portal and accounts

Some areas of the Website, such as the provider portal, are available only to people we authorize. Use the login details we give you only as we authorize, keep them confidential, and do not share them with anyone we have not approved. Your organization is responsible for activity by the people it gives access to. Tell us promptly at admin@healthcareutilization.com if you believe login details have been disclosed or misused. Portal content, including dashboard designs, methods, and figures, is our confidential information: use it only to evaluate or receive our services, and do not copy, share, or publish it without our written permission. We record sign-in activity for security, and we may change login details or suspend or end access at any time to protect the Website, our clients, or others. Demonstration content in the portal uses sample or synthetic data and is not a report about any real organization or patient.

10. Acceptable use

You agree to use the Website only for lawful business purposes. You may not:

11. Intellectual property

The Website and its content, including text, graphics, logos, designs, dashboards, images, and software, are owned by HUC or its licensors and are protected by intellectual property laws. Healthcare Utilization Consultants, HUC, AiFax, AdmitLogic, and related names and logos are our trademarks or the trademarks of our affiliates. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Website for your internal business evaluation. All other rights are reserved. Other product and company names, including EHR names, belong to their owners and are used only to identify those products; their use does not imply endorsement.

If you send us ideas, suggestions, or feedback, you grant us a royalty-free, perpetual, irrevocable right to use them without obligation to you.

12. Calls, text messages, and email

When you contact us, you agree that we may respond by email, or by phone at the number you give us. We send text messages only when you choose text as your contact method and agree to receive texts. Message frequency varies, and message and data rates may apply. Reply HELP for help, or STOP to opt out at any time; you may also opt out by any other reasonable means. Carriers are not liable for delayed or undelivered messages. Consent to receive texts is not a condition of any purchase. Calls to our business phone line may be answered by an automated or AI voice assistant operated by a service provider and may be recorded, transcribed, and summarized so we can respond; by continuing the call after being informed, you consent to this. See our Privacy Policy for details.

13. Third-party sites and services

The Website may link to websites and services we do not control, including websites for our own products that have separate terms. We are not responsible for third-party content, products, services, or practices, and a link does not mean we endorse them. Your use of a third-party site is at your own risk and subject to its terms.

14. Disclaimer of warranties

To the fullest extent permitted by law, the Website and all content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Website, its servers, or any communication from us is free of viruses or other harmful components.

15. Limitation of liability

To the fullest extent permitted by law, HUC and its members, managers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Website or these Terms, even if advised of the possibility of such damages. Our total liability for all claims arising out of or relating to the Website or these Terms will not exceed one hundred U.S. dollars (US $100).

These limits apply to your use of the Website. Liability relating to services we provide is governed by the written agreement for those services. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HUC and its members, managers, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Website, your violation of these Terms, or your violation of any law or the rights of any third party, including by submitting information you were not authorized to submit.

17. Governing law and disputes

These Terms and any dispute arising out of or relating to the Website or these Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and applicable federal law. You agree that any such dispute will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts.

Jury trial waiver. To the fullest extent permitted by law, you and HUC each knowingly and voluntarily waive any right to a trial by jury in any dispute arising out of or relating to the Website or these Terms.

Individual claims only. To the fullest extent permitted by law, any dispute arising out of or relating to the Website or these Terms will be brought and decided only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative proceeding.

18. Accessibility

We want the Website to be usable by everyone and design it with the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA in mind. If you have difficulty accessing any part of the Website, contact us at admin@healthcareutilization.com or 786-435-0634, and we will work with you to provide the information in another way.

19. Changes and termination

We may change, suspend, or discontinue any part of the Website at any time. We may update these Terms by posting a revised version with a new effective date; changes apply from that date, and continued use of the Website after that means you accept them. We may suspend or end your access to the Website or the provider portal at any time if we believe you have violated these Terms or to protect the Website or others. Sections that by their nature should survive will survive any termination.

20. General

These Terms are the entire agreement between you and HUC about the Website and replace any prior understandings about it; they do not replace any signed services agreement or BAA. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only, and "including" means "including without limitation."
